Affiliate Program Terms of Service

1. Introduction

These Affiliate Program Terms (“Terms”) govern your participation in the Wordbox Affiliate Program (“Program”). By applying to or participating in the Program, you agree to be bound by these Terms.

The Program is operated by Astroshock S.L. (“Wordbox”, “we”, “our”, or “us”).

2. Relationship of the Parties

You participate in the Program as an independent contractor. Nothing in these Terms creates an employment relationship, a partnership, a joint venture, a franchise, or a commercial agency relationship between you and Wordbox, and the parties expressly exclude any such interpretation.

You are free to decide whether, when, and how to promote Wordbox. You are not required to promote Wordbox, you are not assigned a territory or a customer group, you are not granted exclusivity of any kind, and you may promote competing products. We do not direct your working methods, your schedule, or your content beyond the limits set out in “Acceptable Promotion”.

You have no authority to negotiate, conclude, or modify contracts on behalf of Wordbox, to make representations or give guarantees on our behalf, to collect payments from customers, or to hold yourself out as our agent, employee, or representative.

You bear your own costs of participating in the Program and are solely responsible for your own taxes, social security contributions, and any registrations required by the law of your country.

3. Enrollment

Participation in the Program requires approval by Wordbox.

We reserve the right to approve or reject any application for any reason, including if we believe your website, content, or promotional methods are inconsistent with our brand or these Terms.

You must provide accurate, complete, and up-to-date information when applying.

4. Referral Links and Tracking

Once approved, you will receive a unique referral link and, where applicable, a personal discount code.

Wordbox uses Rewardful to attribute referrals.

• Referral cookie duration: 90 days.
• Attribution is determined by our affiliate platform.
• We cannot guarantee attribution if cookies are disabled, tracking is blocked, or another technical issue prevents successful tracking.

5. Commissions

Approved affiliates earn:

• 30% commission on subscription payments made by eligible referred customers.
• Commissions are paid on renewals for up to 12 months from the customer’s first subscription purchase.

Commissions are calculated on the amount actually paid by the customer for the subscription, after any discount — including the discount granted through your own referral — and excluding VAT or any other applicable taxes. Payment-processing fees are borne by Wordbox and are not deducted from your commission. Commissions are denominated and paid in euros; where a customer pays in another currency, the amount is converted at the rate applied by our payment provider to that transaction.

No commission is earned on:

• refunded payments;
• chargebacks;
• fraudulent transactions;
• payments that fail to process;
• subscriptions cancelled before payment;
• purchases that violate these Terms.

If a customer payment is refunded, reversed, charged back, or otherwise not finally received by us after the corresponding commission has been paid to you, we may deduct that commission from your future payouts. If no further payouts are due, we may invoice you for the amount, payable within 30 days. This applies however long after the payout the reversal occurs.

We may also withhold payment of a commission while a transaction is under review for suspected fraud, abuse, or a breach of these Terms, and may cancel it if the suspicion is confirmed.

6. Customer Discount

Customers who subscribe using an affiliate referral receive:

• 20% off their first subscription payment.

The discount applies only to the initial payment unless we explicitly state otherwise.

7. Qualified Referrals

A referral qualifies for commission only if:

• the customer is new to Wordbox;
• the purchase is completed through your referral link or code;
• payment is successfully received;
• where the customer arrived through your referral link, the purchase is completed within the attribution window of 90 days from their first visit. Your discount code itself has no such window;
• the transaction is not refunded, reversed, or determined to be fraudulent.

A customer qualifies as new if they have no prior transaction with Wordbox. A customer whose earlier subscription has ended does not qualify again, and neither does one who has an unpaid invoice outstanding from an earlier attempt.

A purchase is credited to one affiliate only, determined by the discount code used at the checkout. Where a customer arrives through one affiliate’s referral link and then enters a different affiliate’s discount code, the commission follows the code that was actually used.

Wordbox reserves the right to determine whether a referral qualifies.

8. Payouts

• Commissions become payable 30 days after the corresponding customer payment is received.
• Payouts are processed monthly.
• Minimum payout: €50.
• Payable balances below the minimum threshold roll over to future payout periods.

Affiliates are responsible for providing accurate payment details and complying with any applicable tax obligations.

Before any payout, you must provide the identification and tax details we request, which may include your full legal name or company name, address, country of tax residence, tax identification number, and — for businesses in the European Union — a VAT number valid in the VIES system. We may withhold payment until these details are provided and may cancel unpaid balances that remain unclaimed for twelve months after we first requested them.

Where the law requires us to withhold tax from a payment to you, we will withhold that amount and remit it to the relevant authority on your behalf. Withheld amounts are treated as paid to you. We will make the corresponding certificates available to you.

You are responsible for declaring and paying any tax due on the commissions you receive. If you are established in the European Union outside Spain and supply a valid VAT number, commissions are invoiced without VAT under the reverse-charge mechanism, and you are responsible for accounting for VAT in your own country.

Self-billing. To simplify monthly payouts, you authorise Wordbox to issue invoices in your name and on your behalf for the commissions payable to you, and you agree to accept those invoices. Each invoice will be made available to you, and you must notify us within 30 days if you disagree with its content. You must tell us promptly if your tax status or tax identification details change. Either party may end this self-billing arrangement by written notice, in which case you will issue your own invoices.

9. Acceptable Promotion

We encourage affiliates to promote Wordbox honestly and transparently.

You may promote Wordbox through websites, blogs, newsletters, social media, videos, podcasts, educational content, or other lawful channels.

You must not:

• make false or misleading claims about Wordbox;
• impersonate Wordbox or claim to represent us;
• use spam or unsolicited communications;
• bid on “Wordbox” or our trademarks in paid search advertising without our written permission;
• create websites, domains, or social media accounts likely to confuse users into believing they are operated by Wordbox;
• engage in cookie stuffing, click fraud, or other deceptive attribution practices;
• offer unauthorized discounts or incentives.

You must clearly disclose your commercial relationship with Wordbox in every piece of content that promotes it. The disclosure must appear at the beginning of the content — not only in a description, a comment, or behind a “more” link — must be in the same language as the content itself, and must be readable at a glance. Wording such as “advertisement”, “paid partnership”, or “affiliate link” is appropriate; a hashtag containing only our brand name is not sufficient.

Where the law or an applicable advertising code of your country sets a stricter standard, that standard applies. You are responsible for complying with all applicable advertising, disclosure, consumer protection, and data protection laws.

10. Brand Assets

We may provide logos, screenshots, product images, and other marketing materials.

You may use these materials solely for promoting Wordbox while participating in the Program.

All intellectual property rights remain the property of Astroshock S.L.

11. Changes to the Program

We may modify, suspend, or terminate the Program or these Terms at any time.

Changes may include commission rates, payout schedules, cookie duration, eligibility requirements, or other aspects of the Program.

We will give you at least 30 days’ notice before a change that reduces your commission rate, shortens the attribution window, or raises the minimum payout, by email to the address registered with your affiliate account. Other changes take effect when published. If you do not accept a change, your remedy is to leave the Program before it takes effect; commissions associated with referrals already made are settled under the Terms that applied when those referrals were made.

Unless we explicitly state otherwise:

• changes apply only to future referrals made after the effective date; and
• commissions already earned or associated with previously qualified referrals will continue to be paid according to the Terms that applied when those referrals were made.

12. Suspension and Termination

Either you or Wordbox may end participation in the Program at any time.

We may suspend or terminate your participation immediately if we reasonably believe you have:

• violated these Terms;
• engaged in fraudulent or abusive activity;
• harmed the reputation of Wordbox;
• violated applicable law.

Termination does not affect commissions already earned and approved before termination, unless those commissions resulted from fraud or another violation of these Terms.

13. Disclaimer

The Program is provided on an “as is” and “as available” basis.

We do not guarantee:

• any particular level of earnings;
• uninterrupted operation of the Program;
• error-free referral tracking.

14. Limitation of Liability

To the fullest extent permitted by law, Wordbox will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your participation in the Program.

Our total liability under these Terms will not exceed the commissions paid or payable to you during the preceding twelve months.

15. Governing Law

These Terms are governed by the laws of Spain.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
